At Away, we believe in creating thoughtful products that make travel more seamless. We're also committed to building strong relationships, and that includes our valued Authorized Resellers. You play a key role in helping us bring Away luggage and travel accessories to customers who appreciate quality and design as much as we do.

This Authorized Reseller Policy is here to ensure we continue to deliver on that promise together. It outlines how we can maintain the high standards of our products and the exceptional customer experience that defines the Away brand.

By partnering with us, you benefit from our strong brand recognition and desirable products. In return, you help us protect our brand's integrity and ensure customers always receive authentic, high-quality Away items. This policy also helps us combat unauthorized sellers who might otherwise undermine your business and our customers' trust with subpar products.

Your partnership is essential in delivering the best travel experiences to our customers. By purchasing Away products for resale, you agree to the terms outlined in this policy.

Authorized Reseller Policy

This Authorized Reseller Policy ("Policy") is established by JRSK, Inc., dba Away ("Away") and applies to all resellers who are authorized by Away to purchase Away's products ("Products") for resale (such resellers, "Authorized Reseller(s)"). 

  1. Appointment and Acceptance.  Authorized Resellers are appointed at Away's sole discretion and must agree to adhere to this Policy, as well as any terms or policies referenced herein, including but not limited to the Minimum Advertised Price (MAP) Policy.

  2. Product Purchase. Authorized Resellers must purchase Products exclusively for resale in the quantities and at the prices specified by Away. Away reserves the right to limit the quantity of Products available for purchase.

  3. Pricing and Sales. Authorized Resellers will independently set their retail prices; however, they must not advertise or sell Products below the minimum advertised price ("MAP") established by Away, as set forth in the MAP Policy (as updated from time to time). Away may, from time to time, offer suggested retail prices, which Authorized Resellers may choose to follow.

        1. Break Periods. Away may, at its sole discretion, designate temporary promotion windows ("Break Periods") during which Authorized Resellers may advertise Products below the established MAP pricing. Away will communicate the specific dates, duration, and terms of such Break Periods to Authorized Resellers in writing. Outside of these designated Break Periods, all MAP pricing requirements remain in full effect.

  4. Sales Channels. Authorized Resellers will only sell the Products through retail stores and online platforms that have been expressly approved in writing by Away. Authorized Resellers will not sell the Products through any unauthorized channels or in any unauthorized jurisdictions, including but not limited to online marketplaces, auction sites, or physical retail locations not listed in the approved channels. Any sale of Products through unapproved channels or in unauthorized jurisdictions will be considered a material breach of this Policy. Authorized Resellers must seek and obtain Away's prior written consent before selling the Products in any new retail store, on any new online platform, or within any new jurisdiction.

  5. End Customers. Products purchased by Authorized Resellers are intended for sale to end customers only. Accordingly, Authorized Resellers will market, advertise, and resell the Product to end customers only. End customers are customers who purchase the Product for their personal use or consumption. Authorized Resellers are prohibited from reselling the Product to third-party resellers or distributors without prior written approval from Away.

  6. Intellectual Property and Brand Representation.  Authorized Reseller acknowledges and agrees that Away owns all proprietary rights in and to the Away brand, names, logos, trademarks, service marks, trade dress, copyrights, patents and other intellectual property related to the Products (the “Away IP”). Authorized Reseller is granted a limited, non-exclusive, non-transferable, revocable sublicense to use the Away IP solely for purposes of marketing and selling the Products as set forth herein and subject to Away’s prior approval in each instance (or as set forth in a written agreement between Away and Authorized Reseller). This sublicense will cease upon termination of Authorized Reseller’s status as an authorized reseller. All goodwill arising from Authorized Reseller’s use of the Away IP shall inure solely to the benefit of Away or its authorized licensors.  

        1. Brand Guidelines. Authorized Reseller’s use of the Away IP will be strictly in accordance with any guidelines that may be provided by Away from time to time (“Brand Guidelines”) and must be commercially reasonable as to the size, placement, and other manners of use.  Away reserves the right to review and approve, in its sole discretion, Authorized Reseller’s use or intended use of the Away IP at any time, without limitation.  Authorized Reseller will not create, register, or use any domain name or any mobile application that contains any Away product name or any trademark owned by or licensed to Away, nor a misspelling or confusingly similar variation of any Away product name or any trademark owned by or licensed to Away. 

        2. Marketing Approval Process. Unless otherwise agreed, all marketing assets, including but not limited to print, e-mails, digital placements, and social media posts, must be submitted to Away for review and written approval at least ten (10) business days prior to the proposed date of use or publication. Away reserves the right to provide feedback and require revisions to ensure brand alignment. Away must approve all imagery and branding materials used in promoting the Products. Away will have the right to list Authorized Reseller as a stockist of Away Product, including on Away’s website. 

  7. Inventory Management. Away does not guarantee the availability of all Products and may discontinue items without notice.

        1. Inventory Reporting. Authorized Reseller will provide Away with inventory reports upon request, detailing current stock levels of Products.

        2. Excess Inventory. Authorized Reseller will not liquidate excess inventory through unauthorized channels. If Authorized Reseller has excess inventory, it will notify Away to discuss appropriate disposition options.

        3. Returns. Authorized Reseller will manage Product returns in accordance with Away's return policy guidelines and will not resell returned Products as new unless they remain in original, unopened packaging.

  8. Product Packaging and Customer Service. 

        1. Authorized Reseller will only sell Products in their original packaging. Relabeling, repackaging, and other alterations to Products or their packaging are prohibited unless Away has explicitly agreed in writing. Authorized Reseller will not tamper with, deface, or otherwise alter any serial number, UPC code, or other identifying information on Products or their packaging.  

        2. Authorized Reseller will not represent or advertise any Product as “new” that has been returned open or repackaged.

        3. Promptly upon receipt of the Products, Authorized Reseller will inspect the Products and their packaging for damage, defect, broken seals, evidence of tampering, or other nonconformance (a “Defect”).  If any Defect is identified, Authorized Reseller must promptly report the Defect to Away at authorizedreseller@awaytravel.com.

        4. Authorized Reseller will be familiar with the features of all Products marketed for sale and must obtain sufficient Product knowledge to advise customers on the selection of the Products, as well as any applicable warranty, guarantee, or return policy. Authorized Reseller will ensure that all staff involved in the sale of Products receive adequate training on Product features, benefits, and proper use.

        5. Authorized Reseller will provide a high level of customer service and will be responsive to customer inquiries both before and after sale of the Products. Authorized Reseller will refer technical questions regarding the Products to Away.

        6. Authorized Reseller will cooperate with Away with respect to any Product tracking systems that may be implemented from time to time.

        7. Authorized Reseller will cooperate with Away with respect to any Product recall or other consumer safety information dissemination efforts.   

        8. Authorized Reseller will report to Away any customer complaint or adverse claim regarding the Products of which it becomes aware. Authorized Reseller will assist Away in investigating and resolving any such complaints or adverse claims.

  9. Payment Terms. Unless otherwise agreed in writing, Authorized Reseller will pay for Products as mutually agreed. Any late payments will incur interest at the rate of 1% per month. Payment terms will be established by Away and may include prepayment, credit terms, or consignment arrangements, at Away's sole discretion.

  10. Shipping and Handling. Authorized Resellers are responsible for any and all shipping and handling costs associated with the purchase or resale of Products unless otherwise agreed upon in writing by Away.

  11. Limited Warranty. Away provides a limited warranty for the Products sold by Authorized Resellers, as set forth in the applicable limited warranty terms. Authorized Resellers are not authorized to modify the warranty terms or offer any additional warranties beyond what is provided by Away. A warranty is valid only for Products sold by Authorized Resellers. Products sold by unauthorized sellers are not eligible for warranty coverage provided by Away. Authorized Resellers must clearly inform customers of the warranty coverage and ensure that warranty information is provided with each Product sold.

  12. Compliance with Laws. Authorized Resellers must comply with all applicable laws, regulations, and ordinances in the conduct of their business.

  13. Governing Law. This Policy shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any choice of law or conflict of law provisions.

  14. Termination. If Authorized Reseller violates this Policy, Away reserves the right to take any action with respect to an Authorized Reseller that violates this Policy, including but not limited to imposing penalties, indefinitely refusing to accept new orders, or terminating the Authorized Reseller's rights to sell Products.  Unless otherwise agreed in writing, if Authorized Reseller's right to sell Products is terminated, Authorized Reseller must cease using Away intellectual property on any online or written advertisement or marketing on the earlier of (i) ninety (90) days from the date of such termination, or (ii) the date that Authorized Reseller no longer has Product in its inventory. 

  15. Modifications. Away reserves the right to amend or modify this Policy at any time. Authorized Resellers will be notified of any changes and must comply with the updated terms. Unless otherwise provided, such amendments will take effect immediately and Authorized Reseller’s continued use, advertising, offering for sale, or sale of the Products, use of the Away IP, or use of any other information or materials provided by Away to Authorized Reseller will be deemed Authorized Reseller’s acceptance of the amendments, this Policy, the MAP policy and the Authorized Reseller Agreement.

  16. Precedence. In the event of any conflict or inconsistency between the provisions of this Policy and any other agreement, understanding, or document between Away and Reseller concerning, the terms of this Authorized Reseller Policy will prevail and govern to the extent that such conflict, discrepancy, or inconsistency relates to the resale of Away products and the subject matter covered by this Policy.
